Please read these Terms of Use carefully before using the website of Morgan Dynamic Research, LLC, located at www.morgandynamicresearch.com and any related pages, content, or services that link to these Terms (collectively, the “Site”).
By accessing or using the Site, you agree to be bound by these Terms of Use and by our Privacy Policy. If you do not agree, you must not use the Site.
“Morgan Dynamic Research,” “MDR,” “we,” “us,” and “our” refer to Morgan Dynamic Research, LLC. “You” and “your” refer to the individual user of the Site and, if applicable, any organization on whose behalf the individual uses the Site.
1. Scope of the Site and Services
1.1 Informational purpose
The Site is primarily an informational and educational platform. It may include, without limitation:
a. Research papers and other scientific or technical materials
b. Commentary, editorials, and explanatory content
c. News releases and announcements
d. Links to third party news articles and other external resources
e. Information about current or future educational offerings, including any possible online courses related to our physics model or other scientific topics
The Site is not intended to function as a retail store. We currently do not sell products or services through the Site. If this changes in the future, we may update these Terms or provide separate terms applicable to any such purchases.
1.2 No professional advice
Content on the Site is provided for informational and educational purposes only. It does not constitute professional, legal, financial, medical, or other regulated advice. Scientific and technical content on the Site, including materials relating to our physics model or other research, is not a substitute for independent analysis, independent experimentation, peer review, or professional judgment in any field.
You are solely responsible for how you use any information obtained from the Site.
2. Eligibility and User Responsibilities
2.1 Eligibility
By using the Site, you represent and warrant that:
a. You are at least 13 years of age, and
b. You have the legal capacity to enter into a binding agreement, and
c. If you are using the Site on behalf of an organization, you have authority to bind that organization to these Terms.
2.2 Your obligations
You agree that you will:
a. Use the Site only in accordance with these Terms and all applicable laws and regulations
b. Not interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available
c. Not attempt to gain unauthorized access to any part of the Site or any related systems or networks
d. Not use the Site in any way that could damage, disable, overburden, or impair the Site or interfere with any other party’s use of the Site
3. Intellectual Property
3.1 Ownership
The Site and all content on the Site, including text, graphics, logos, images, audio, video, code, and compilations of content, are owned by Morgan Dynamic Research, LLC or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.
3.2 Limited license to you
Subject to your compliance with these Terms, MDR grants you a limited, revocable, non exclusive, non transferable license to access and use the Site for your personal, noncommercial informational and educational purposes.
Except as expressly permitted by these Terms or by MDR in writing, you may not:
a. Reproduce, distribute, publicly display, publicly perform, modify, or create derivative works of any content on the Site
b. Use any data mining, robots, or similar data gathering or extraction methods
c. Remove any copyright, trademark, or other proprietary notices from the Site or content
3.3 Use of research and educational content
We support scientific curiosity and discussion. Unless we expressly state otherwise in writing, you may quote or reference our publicly available research content only for legitimate scholarly, educational, journalistic, or personal uses, and you must provide customary attribution to Morgan Dynamic Research and any identified authors.
Any commercial use, including commercial training materials, paid courses, or commercial dissemination of our content, requires our prior written consent.
4. User Content and Idea Submissions
4.1 User Content
If, now or in the future, the Site allows you to submit comments, questions, feedback, posts, files, or other material, all such material is called “User Content.” You are solely responsible for your User Content.
You represent and warrant that:
a. You have all necessary rights to submit the User Content
b. Your User Content does not infringe or violate the intellectual property, privacy, or other rights of any third party
c. Your User Content does not violate any applicable law or regulation
4.2 License in User Content
Except as provided in Section 4.4 for feedback and unsolicited ideas, you retain any ownership rights you may have in your User Content.
By submitting User Content, you grant MDR a worldwide, non exclusive, royalty free, fully paid up, transferable, and sublicensable license to use, reproduce, distribute, display, perform, adapt, modify, and create derivative works from your User Content, in any media now known or later developed, for the purposes of operating, maintaining, improving, and promoting the Site and our activities.
4.3 No expectation of confidentiality
You understand and agree that, unless we expressly state otherwise in a separate written agreement signed by MDR, any User Content you submit through the Site is submitted on a non confidential and non proprietary basis.
MDR has no obligation to:
a. Treat any User Content as confidential
b. Review or use any User Content
c. Return any User Content to you
You should not submit any sensitive, confidential, or proprietary information to us through the Site unless we have a separate written agreement that specifically covers that disclosure.
4.4 Feedback and unsolicited ideas
MDR is engaged in ongoing scientific and technical research and development. We may be working on the same or similar ideas, concepts, or approaches that you may wish to suggest or send to us.
To avoid misunderstandings:
a. No obligation
You agree that MDR has no obligation to review, keep confidential, acknowledge, compensate, or respond to any ideas, suggestions, proposals, concepts, designs, improvements, contributions to our physics model, or other feedback that you submit to us, whether submitted through the Site, by email, or by any other method. All of these are called “Feedback.”
b. Assignment of rights in Feedback
To the fullest extent permitted by law, you hereby assign to MDR all right, title, and interest you may have in and to all Feedback, including all associated intellectual property rights, without any additional compensation to you and without any duty to account to you in any way.
To the extent that any applicable law does not permit an assignment of rights, you instead grant MDR a worldwide, perpetual, irrevocable, royalty free, fully paid up, transferable, and sublicensable license to use, reproduce, distribute, display, perform, adapt, modify, and create derivative works from the Feedback for any purpose, including research, product development, services, publications, and commercial or non commercial uses of any kind.
c. No expectation of credit or payment
You agree that MDR is free to use the Feedback for any purpose, including developing or improving theories, models, publications, products, services, or educational materials, without any obligation to provide you with compensation, credit, notice, or any other benefit, unless we expressly agree otherwise in a separate written agreement signed by MDR.
d. Waiver of moral and similar rights
To the fullest extent permitted by law, you waive any moral rights and similar rights you may have in the Feedback, including any rights of attribution or integrity, and you agree not to assert any such rights against MDR or our licensees.
e. No limitation based on similarity
You acknowledge that MDR may already be considering, developing, or may later consider or develop ideas, models, theories, or works that are the same as or similar to the Feedback. You agree that you will not assert that MDR has infringed or misappropriated any of your rights or has any obligation to you because of any similarity between the Feedback and any current or future MDR research, theories, publications, products, services, or other content.
4.5 Right to remove User Content
MDR reserves the right, but does not have any obligation, to review, monitor, or remove any User Content at our sole discretion, including if we believe it is unlawful, offensive, or otherwise inconsistent with these Terms or our goals for the Site.
5. No Guarantee of Accuracy or Endorsement
5.1 No guarantee of accuracy
We aim for rigor and clarity, but scientific work is by nature evolving. The content on the Site may include hypotheses, interpretations, models, simulations, and opinions that are subject to testing, debate, revision, or rejection. We do not guarantee that any content on the Site is complete, accurate, or up to date.
You should not rely on any Site content as the sole source of information for important decisions.
5.2 No endorsement of third parties
The Site may reference, critique, support, or challenge the work of other researchers, institutions, or publications. Any such references or links do not imply endorsement, approval, or affiliation by MDR, unless we clearly state otherwise.
6. Third Party Links and Content
6.1 Third party links
The Site may include links to third party websites, articles, platforms, or resources that are not owned or controlled by MDR. These links are provided for convenience, context, or discussion. MDR does not control and is not responsible for the content, policies, or practices of any third party websites or services.
If you access any third party website, you do so at your own risk and subject to the terms and policies of those websites.
6.2 Third party content hosted or described on the Site
From time to time, we may host or describe third party materials, such as news coverage, critiques, or responses to our work. All third party content is the sole responsibility of the party that created it. MDR is not responsible for errors, omissions, or claims contained in such content.
7. Online Courses and Educational Offerings
We may, now or in the future, describe, promote, or host online courses, seminars, or other educational offerings related to our physics model or other scientific topics.
Unless we provide separate or additional terms for a specific course or program, the following will apply:
a. We reserve the right to modify, cancel, or reschedule any educational offering at our discretion
b. Any statements about learning outcomes or results are goals and not guarantees
c. Any certificate or acknowledgment of completion does not represent academic credit, licensing, or professional qualification
If we provide additional or separate terms for any course or educational program, those terms will govern in the event of any conflict with these Terms with respect to that program.
8. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Site and all content and services available through the Site are provided “as is” and “as available”. MDR and its officers, directors, employees, and agents disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non infringement.
Without limiting the foregoing, MDR does not warrant that:
a. The Site will be uninterrupted, secure, or free of errors or harmful components
b. The information on the Site will be accurate, complete, current, or reliable
c. Any defects or errors will be corrected
You assume all risk for your use of the Site and any reliance on Site content.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
9. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will MDR or its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including any loss of profits, loss of revenue, loss of data, loss of goodwill, or other intangible losses, arising out of or in connection with:
a. Your access to or use of, or inability to access or use, the Site
b. Any content obtained from the Site
c. Any conduct or content of any third party on or associated with the Site
This limitation applies whether the claim is based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if MDR has been advised of the possibility of such damages.
To the fullest extent permitted by law, MDR’s total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred United States dollars (100 USD) or, if a different amount is required by law, the minimum amount required by such law.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless MDR and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with:
a. Your access to or use of the Site
b. Your User Content
c. Your violation of these Terms
d. Your violation of any law or the rights of any third party
11. Modifications to the Site and These Terms
MDR may modify, suspend, or discontinue any part of the Site at any time, with or without notice.
We may also update or modify these Terms from time to time. When we do so, we will revise the “Last updated” date at the top of this page. Any changes will be effective when posted on the Site unless a different date is stated.
Your continued use of the Site after the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the revised Terms, you must stop using the Site.
12. Governing Law and Venue
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site, whether sounding in contract, tort, statute, or otherwise, will be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict of law principles.
You agree that the exclusive jurisdiction and venue for all actions related to the subject matter of these Terms shall be the state and federal courts located in the State of New Hampshire, and you consent to venue in Grafton County, New Hampshire.
The parties agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or any use of the Site.
13. Termination
MDR may, in its sole discretion, suspend or terminate your access to the Site at any time and for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Site will immediately cease.
Sections of these Terms that by their nature should survive termination will survive, including those relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law.
14. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in full force and effect.
15. No Waiver
No failure or delay by MDR in exercising any right, power, or remedy under these Terms will operate as a waiver of that right, power, or remedy. Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of MDR.
16. Assignment
You may not assign or transfer these Terms or any rights or obligations under these Terms without the prior written consent of MDR. Any attempted assignment or transfer in violation of this restriction is void.
MDR may assign or transfer these Terms, in whole or in part, without restriction and without notice to you. These Terms are binding on and inure to the benefit of the parties and their respective successors and permitted assigns.
17. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms that we expressly provide in connection with specific features, courses, or services, constitute the entire agreement between you and MDR relating to your use of the Site. They supersede all prior or contemporaneous agreements, communications, and understandings, whether oral or written, relating to the Site.
18. Third Party Beneficiaries
These Terms are for the benefit of you and MDR. No other person or entity will have any rights as a third party beneficiary under these Terms.
